| The
following are the terms and conditions of
participating in the eCoach referral agent program.
Please read carefully and in full. |

|
Definitions |
|
"Referral Agent" refers to authorised agents who
have have a link from their own website to eCoach
with a unique ID number.
"Cash Agents" refers to authorised agents who
operate from a retail outlet and accept payments on
behalf of eCoach customers for purchases of eCoach
products by credit card, cash, bank draft or cheque.
"Agents" refers
to both cash and referral agents
"Referral Link" refers to the unique URL link
from referral agent's Web site to the eCoach Web
site.
"eCoach" refers to eCoach, located at
eCoach House, Brookvale, Cobh, Co. Cork, Ireland. |

Commission |
|
- eCoach will
pay referral agents 5% commission of each
qualifying eCoach product sale identified by
eCoach as a visitor from referral agent's Web
site by using their Referral Link.
- eCoach will
pay cash agents 8% commission of each
qualifying eCoach product sale made to eCoach
customers on behalf of eCoach.
- Sale is total
amount of the sale of the seats excluding the
booking fee. Commission applies only to sales of
eCoach products and does not include sales of
any other products or services. Commission
applies to sale price at the exact time of
purchase and also if products are sold at a
discount or on-sale.
- Only one
commission will be paid per sale. i.e., If a
visitor comes to eCoach from more than one
referral agent Web site before making a
purchase, the most recent referral agent shall
receive the commission. Also, commission
applies only to the first sale made by Referred
customer. Commissions are not paid on
subsequent sales to the same customer.
- A referral
agent or cash agent can refer himself or herself
or make a sale to himself or herself for a
product sale.
- Payments will
be made on the 1st working day of each month
when commissions payable are EUR 100.00 or more.
Commissions due which are less than EUR 100.00
will be carried over to the following month and
subsequently until such a time they reach this
minimum payment.
- Cash agents
who have accrued more cash than commissions due
will be invoiced for the outstanding amount
which will be payable by return post by cheque
for the full amount. Failure to make a prompt
return of the full amount due will result in
your account being put on hold or terminiated.
Invoices may be sent at any time during a
calendar month and must always be settled in
full immediately.
- Cash agents
can accept cash payments, credit card payments,
cheque payments or bank draft payment.
Regardless of the method of payment all bookings
must be completed either on
www.eCoach.ie
or by calling our sales line on LoCall 1890 326
224 (1890 eCoach)
- Cash agents
who accept cheques as payment do so at their own
risk. If it transpires that the cheque holders
account does not have sufficient funds to cover
the purchase, it will be the agents duty to
recover this amount.
- Cash agents
accepting cash as payment are responsible for
the safe keeping of this cash and all related
costs and implications of handling cash.
- Cash agents
must make their customers aware of our terms and
conditions plus our refunds and cancellation
policy.
- Cash agents
who accept cash or cheque payments will be
invoiced for the full amount of these payments
less commissions due.
- Cheques must
be payable to the Cash Agent (not eCoach) and
lodged in to the cash agents account. Payment by
cheque will be considered as a cash payment by
eCoach.
- Cash agents
can use their own computer online or by calling
our sales line on LoCall 1890 326 224 (1890
eCoach)
- All payments
will be made in Euro by company cheque.
- If a
qualifying sale is cancelled or refunded, the
related commission will still be payable to
agents.
- Commissions
will be paid for Referred sales for as long as
referral agent actively participates in the
referral Program and maintains the Referral Link
and this agreement is not cancelled by either
party. If this agreement is cancelled,
outstanding commissions accumulated until time
of cancellation shall be the next 1st working
day of the month as long as the agreement terms
and conditions were not violated by referral
agent.
- You will be
responsible to declare any taxable income to The
Revenue Commissioner earned as a result of being
an referral or cash agent of eCoach.

eCoach will not provide customer names and
contact information to you in order to protect
customer privacy. eCoach will provide a report
with each referral agent payment stating price,
product, and date of sale for your records.

Referral Link
(Referral Agents only) |

- Referral
agents will be issued a "Referral Link", or
unique URL, which allows eCoach to identify
visitors from your Web site as originating from
you. These visitors are tracked using
"cookies". As long as a visitor has a Web
browser which supports "cookies" (most do) and
they have not disabled the ability for their
browser to accept "cookies", eCoach will be able
to identify the visitor as originating from you.
- You may remove
or add your link to the eCoach Web site at any
time without permission. However to receive
Commissions, you must use the provided referral
link.
- The link may
be a textual or image link. A referral agent is
solely responsible for insuring that their
Referral link is setup properly on their Web
site.
- eCoach
reserves all rights to its trademarks. A referral
agent may use eCoach trademarks in accordance
with this agreement as long as a referral agent
doesn't display an eCoach logo, image, or
trademark which may be distasteful, defame, or
misrepresent eCoach or its products.
- A referral agent
agrees to NOT SEND UNSOLICITED or SPAM email to
promote eCoach products. This action is ground
for immediate termination of your account with a
cancellation of any pending commissions. Your
unsolicited e-mail may damage the image of
eCoach and will result in legal action.

Non-Qualifying
Sites |
|
Sites
that promote:
- sexually
explicit material or violence,
- discrimination
based on race, sex, religion, national origin,
and physical disability,
- illegal
activities
do not qualify as a
referral agent. Do not apply to the eCoach referral
agent Program if your Web site promotes these
activities. By applying to our program, you are
stating that your Web site does not directly promote
or endorse these activities. |

Disclaimer |
|
- eCoach will
make every reasonable effort to track and pay
commissions for all sales that apply to referral
agent. eCoach is not responsible for technical
problems, Acts of God, acts by third parties, or
other events outside our reasonable control
which may negatively affect this service.
- eCoach makes
no warranties expressed or implied with regard
to Partner Referral Program except as outlined
in this agreement.

Relationship |
|
| The
relationship between eCoach and Partner established
by this Agreement is that of independent
contractors. eCoach and referral agent shall each
conduct its respective business at its own expense,
and shall have no authority to incur any obligations
on behalf of the other, except as otherwise provided
herein. "referral agent or cash agent" shall not be interpreted
as a legal partner. |

Limitation of
Liability |
|
- eCoach shall
not be held liable for any damages or any loss
of revenue or profits arising under or with
respect to this agreement or program, even if
eCoach has been advised of the possibility of
such damages. The total liability of
eCoach arising
under or with respect to this agreement shall in
no event exceed the total commissions paid or
payable by eCoach under this agreement.
- A referral agent
understands that tracking can never be 100%
accurate and eCoach is not responsible for
inaccuracies that might occur beyond its
control. Tracking of Referral sales depend on
the referred visitor accepting the 'cookie' upon
clicking on the referral link and ordering using
the eCoach secure online order form or using the
same browser that they originally used when
clicking on the Referral Link. It is the goal of
eCoach to make tracking as accurate as possible.
